Public, non-traded real estate investment trusts (REITs) offer securities pursuant to an offering registered with the Securities and Exchange Commission (SEC), but such securities do not publicly trade on a national stock exchange. A REIT is a corporation that combines the capital of many investors to purchase and (in most cases) operate income-producing real estate. REITs generally do not pay corporate federal income tax and are required to distribute at least 90 percent of the REIT’s taxable income to investors.
